1. INITIAL HIRE PERIOD
1.1. The 30-day contract period is for a minimum non-refundable period of one month from the Project Start Date.
2. DESCRIPTION OF SERVICES
2.1 StageRightsocal will provide the Home Staging Services as described in the written Staging Proposal attached as Exhibit A (collectively, the ‘Services’)
2.2 StageRightsocal reserves the right to substitute any inventory listed to ensure the quality and final effects of the Home Staging Services.
2.3 The Written Staging Proposal is valid for 30 days from the date of preparation; Errors and omissions excepted.
3. PAYMENTS AND DEPOSITS
3.1 Payments to StageRightsocal can be made by bank transfer, debit card, or credit card. Credit card payments are subject to a processing fee?
3.2 The Customer will pay to StageRightsocal for Staging the Property. A non-refundable Initial Payment is due upon signing this Agreement and the remainder is due 48 hours prior to scheduled Staging Installation Date [date]
3.3 The Home Staging Services defined in this agreement are covered in the fee for the 30-day contract period.
3.4 Any additional developments beyond the scope of the Written Staging Proposal (Exhibit A) will be billed at the hourly rate of $55. This includes any on-site installation work, delays caused by construction work, cleaning, etc., on the Staging Installation Date. Any additional requests by the Customer or their real estate agent, such as furniture substitutions, add-on requests, re-delivery or additional inventory rental fees, will incur additional costs.
3.5 The Project Start Date is not confirmed until a signed agreement (electronic signature) and a 50% non-refundable Initial Payment is received.
4. CUSTOMER CONSENT
4.1 Customer hereby grants to StageRightsocal and its employees, agents, independent contractors and suppliers permission to enter upon and use the Property for the purpose of providing Home Staging Services listed in the Written Staging Proposal beginning on The Project Start Date and continuing until completed.
4.2 The Customer agrees to protect any and all of their valuables in or around the Property by removing them to safe storage before the Staging Installation Date [date(s)].
4.3 Customer hereby grants permission to StageRightsocal for anything on the Property (both interior and exterior) to be moved or rearranged inside or outside, including furniture or items from cupboards, pantries, closets, drawers, and the like as StageRightsocal deems necessary in its sole discretion to prepare the Property.
5. DELIVERY AND INSTALLATION
5.1 Delivery charges are determined by flat fee and mileage.
5.2 Any work required to be undertaken 'outside of business hours’ may incur an additional charge, which will be advised in advance.
5.3 The unpacking and installation of furniture are to be undertaken solely by representatives of StageRightsocal unless otherwise agreed upon in writing.
5.4 The time of delivery is estimated only. StageRightsocal does not provide any reimbursement for deliveries which have been made later than the estimated time of delivery.
5.5. StageRightsocal does not accept any liability whatsoever for deliveries or installations that have been delayed or canceled, for reasons outside of its control. Additionally, StageRightsocal will not charge the Customer for its Home Staging Services for periods of time where the staging assets have not been delivered to the Property through no fault of the Customer.
5.6. The fixing of pictures, mirrors, accessories, and objets d'art (to include all window treatments) is undertaken at the Customer's own risk and StageRightsocal does not accept any liability for any damage caused whatsoever.
5.7. The installation and removal of StageRightsocal’s Staging Assets, within the Property, are undertaken at the Customer's own risk and StageRightsocal does not accept any liability for any damage whatsoever.
6. STAGING OF THE HOME
6.1. StageRightsocal will not begin work on a Home Staging installation while building staff or other tradesmen are working on-site.
6.2. In the event that the above condition (6.1) has not been met at the start of the Home Staging Installation, an additional charge may be imposed upon the Customer as compensation for costs incurred for the aborted delivery. Additionally, the furniture rental period will have been deemed to begin from this point.
6.3. It is the Customer’s responsibility to ensure that all work on the property has been completed to a satisfactory standard and all relevant Health and Safety regulations have been met.
6.4. Any cancellation of an order will result in the Customer reimbursing StageRightsocal for any costs incurred, including items purchased for the Home Staging.
6.5. Any building works undertaken during the installation may halt work by StageRightsocal until such time that StageRightsocal can recommence work.. An additional installation charge may be incurred as a result.
6.6. During Vacant Home Staging, no person or persons are to be living in the Property at any point during the Home Staging installation, nor at any other point during the contract period unless agreed to in writing.
6.7. StageRightsocal's furniture is for staging purposes only and not for general use.
7. COLLECTION OF STAGING ASSETS
7.1. StageRightsocal requires at least 14 days' notice to collect the Company's staging assets.
7.2. The Customer is liable for any damage to the Staging Assets and will be charged accordingly.
8. CONTRACT EXPIRATION
8.1. On the expiration of the Agreement, the Customer has the option to extend the rental term in monthly increments subject to the Agreement. A monthly extension rate can be supplied upon request.
8.2. Any extension of the rental term will be subject to StageRightsocal receiving cleared funds a minimum of 72 hours prior to the renewal date, unless agreed upon otherwise in writing. If contract extension requirements are not met and the contract expires, the customer will be responsible for the monthly extension rate thereafter.
9. CONTRACT TERMINATION
9.1. This contract may be terminated subject to 14 days' notice in writing. If the Agreement is terminated, or a request for removal of the Staging Assets is received prior to the Initial Hire Period being completed, no refund of the Non-refundable Initial Payment will be given should the Customer cancel this Agreement.
10. PHOTOGRAPH AND PUBLICITY RELEASE
10.1 Customer agrees to allow StageRightsocal to photograph staged areas of the Property before and after the work is completed and to use all such photographs for reference and marketing purposes. Customer’s name will not be referenced. Customer further agrees to release StageRightsocal from any claims or liability arising out of the recording or use thereof.
11. ASSUMPTION OF RISK
11.1 Customer assumes all responsibility for personal property
11.2 Customer acknowledges and agrees that installation of mirrors, artwork, wall hangings and other furnishings during the Staging process may require hooks and/or nails to be placed in the walls of property. Upon removal, small holes will be left. Touch up work on these is the responsibility of the Customer.
10.3 Homeowners are responsible if any of StageRightsocal’s furnishings and accessories are damaged, stolen or accidentally packed during the sale process.
12. HOLD HARMLESS
12.1 Customer further agrees to release, indemnify and hold harmless StageRightsocal, its officers, employees, agents, contractors and suppliers against any and all losses, accidents, liabilities, damages, injuries, expenses and claims resulting in whole or part, directly or indirectly, from the Staging process.
13. LIMITATION OF LIABILITY
13.1 Customer Hereby agrees that in no event shall StageRightsocal, it’s officers, employees, agents, contractors, and/or suppliers’ total and aggregate liability under this agreement exceed the amount of fees paid by the Customer.
14. ABSENCE OF WARRANTIES/GUARANTEES
4.1 The Customer understands that StageRightsocal does not and cannot guarantee success or any particular result. While we shall use our best professional efforts to achieve a successful result, we can make no warranty expressed or implied. StageRightsocal does not guarantee that the Property will sell faster, or at the highest market value, and is not responsible for the final outcome of any sale of the Property.
15. INSURANCE
15.1 It is the Customer's responsibility to ensure the Staging Assets against damage or loss during the Hire Period. The Customer agrees to have all personal property adequately insured throughout the Staging process.
15.2 StageRightsocal and its agents are responsible for insurance of StageRightsocal’s Staging Assets while in transit and while they remain in control of the Staging Assets.
16. ADVERTISING
16.1 Customer acknowledges and agrees that StageRightsocal may reasonably advertise StageRightsocal’s services at the Property while the Property remains Staged.
17. PRE-STAGE CLEANING
17.1 Customer agrees to have the Property professionally cleaned (which may also include carpeting and windows if needed) prior to the Staging Installation date.
18. GOVERNING LAW
18.1 This Agreement shall be governed by the laws of the State of California
19. ENTIRE AGREEMENT
19.1 This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.
20. ATTACHMENTS AND EXHIBITS
20.1 All attachments and exhibits referred to in this Agreement are incorporated herein by reference.
21. OWNERSHIP OF THE PROPERTY
21.1 All of StageRightsocal’s Staging Assets remain the property of StageRightsocal at all times.
21.2 All Staging Assets shall be kept at the address where installed by StageRightsocal for the duration of the Hire Period unless otherwise agreed to in writing.
21.3 Customer warrants they are the owner of record of the Property and have the right and authority to make and enter into this Agreement and to grant the rights set forth herein. Customer acknowledges and agrees that no other authorization is necessary to enable StageRightsocal to use the Property for the purposes of Home Staging Services.
22. SEVERABILITY
22.1 If any provision of this Agreement is invalid or unenforceable, the remainder of this Agreement shall nevertheless remain in full force and effect and shall be construed as if the unenforceable portion(s) were deleted.
